Oter Terms of Use

These Terms govern your access to and use of Oter, an AI note-taking personal assistant operated by Tip Top Union Limited. By using Oter, you agree to these Terms and the Oter Privacy Policy.

Apple App Store Terms

For Oter apps downloaded through Apple's App Store, these Terms are between you and Tip Top Union Limited, not Apple. We are solely responsible for Oter, its content, maintenance, support, warranties to the extent not disclaimed, product claims, and third-party intellectual property claims. Apple has no obligation to provide maintenance or support for Oter.

Unless a custom end-user license agreement is provided, Apple's standard end-user license agreement applies. You receive a limited, non-transferable license to use Oter on Apple-branded products you own or control, and as permitted by Apple's usage rules, including Family Sharing or volume purchasing where available. Apple and its subsidiaries are third-party beneficiaries of these Terms for Apple-distributed versions of Oter and may enforce these Terms against you.

Accounts and Eligibility

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. You must use Oter only in compliance with applicable laws, platform rules, wireless data agreements, and third-party service terms.

Subscriptions and Purchases

Oter may offer paid subscriptions, trials, premium features, or in-app purchases in the future. Pricing, renewal terms, trial details, and cancellation options will be shown before purchase. Purchases made through Apple's App Store are processed by Apple and are subject to Apple's payment, renewal, cancellation, and refund rules.

User Content

You are responsible for the voice recordings, notes, transcripts, tasks, reminders, prompts, messages, and other content you create or submit in Oter. You grant us the rights needed to host, process, transcribe, summarize, organize, display, transmit, troubleshoot, secure, and support that content in order to provide Oter.

AI Features

Oter uses AI to help summarize, classify, organize, and respond to user content. AI output may be incomplete, inaccurate, delayed, or unsuitable for a particular purpose. You should review reminders, dates, tasks, summaries, and assistant responses before relying on them, especially for medical, legal, financial, safety, or time-sensitive decisions.

Acceptable Use

You agree not to:

Use Oter unlawfully, deceptively, abusively, or to harm another person.
Upload malware, spam, infringing content, or content you do not have the right to use.
Interfere with Oter's security, availability, servers, networks, or access controls.
Reverse engineer, scrape, copy, resell, or bypass restrictions except where law allows.
Use Oter to create, store, or distribute illegal, exploitative, or abusive material.
Misrepresent your identity, entitlement, payment status, or authorization.

Privacy

The Oter Privacy Policy explains how we collect, use, share, retain, and protect information connected with Oter, including voice recordings, transcripts, notes, tasks, reminders, account data, diagnostics, and support requests.

Intellectual Property

Oter, its software, designs, service names, logos, text, graphics, and related materials are owned by or licensed to Tip Top Union Limited. We reserve all rights not expressly granted. You may not copy, modify, distribute, resell, or create derivative works from Oter except as allowed by law or with our written permission.

Availability and Changes

Oter may change over time. We may update, suspend, limit, replace, or discontinue features where needed for security, reliability, legal, platform, business, or product reasons. Availability may vary by country, device, operating system, account status, or platform rules.

No Warranty and Limitation of Liability

To the maximum extent permitted by law, Oter is provided on an "as is" and "as available" basis. We do not guarantee that Oter will be uninterrupted, error-free, secure, or that AI output will always be accurate. To the maximum extent permitted by law, Tip Top Union Limited is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, service interruption, or unauthorized access arising from your use of Oter.

Termination

We may suspend or terminate access to Oter if you violate these Terms, if required by law or platform rules, if a service is discontinued, or if needed to protect users, partners, our company, or Oter's integrity.

Governing Law

These Terms are governed by the laws of Hong Kong, without regard to conflict of law rules, except where mandatory consumer protection laws in your country or region provide otherwise.
